Pour les dirigeants et actionnaires, les ajustements de pr\u00e9l\u00e8vements sociaux envisag\u00e9s peuvent modifier l&rsquo;\u00e9quilibre entre r\u00e9mun\u00e9ration et dividendes. Le calendrier l\u00e9gislatif impose d&rsquo;agir avec m\u00e9thode avant la cl\u00f4ture de l&rsquo;exercice.<\/strong><\/p>\n\n\n\n<p>L&rsquo;Assembl\u00e9e nationale se prononce en derni\u00e8re lecture \u00e0 partir du 16 d\u00e9cembre. Cette \u00e9tape marque l&rsquo;ach\u00e8vement de la navette parlementaire. Les d\u00e9bats des derni\u00e8res semaines ont r\u00e9v\u00e9l\u00e9 des tensions autour des mesures de financement, notamment sur les pr\u00e9l\u00e8vements applicables aux revenus du capital.<\/p>\n\n\n\n<p>Chaque fin d&rsquo;ann\u00e9e, nous travaillons avec les experts-comptables d&rsquo;<a href=\"\/cgp-annecy\">Annecy<\/a> et de <a href=\"\/cgp-lyon\">Lyon<\/a> pour ajuster l&rsquo;\u00e9quilibre r\u00e9mun\u00e9ration-dividendes de nos clients avant la cl\u00f4ture de l&rsquo;exercice.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Un calendrier l\u00e9gislatif \u00e0 conna\u00eetre<\/h2>\n\n\n\n<p>La s\u00e9curit\u00e9 juridique d&rsquo;une <a href=\"https:\/\/ch-gestionprivee.fr\/ingenierie-patrimoniale\">op\u00e9ration patrimoniale<\/a> d\u00e9pend du texte en vigueur au moment de sa r\u00e9alisation. Comprendre le calendrier du PLFSS 2026 permet d&rsquo;anticiper.<\/p>\n\n\n\n<p>La phase de vote final se d\u00e9roule cette semaine. L&rsquo;Assembl\u00e9e nationale statue en derni\u00e8re lecture. Son vote scelle le texte d\u00e9finitif.<\/p>\n\n\n\n<p>Le filtrage constitutionnel intervient ensuite, entre le 20 et le 29 d\u00e9cembre. Le Conseil constitutionnel v\u00e9rifie la conformit\u00e9 du texte. Il peut \u00e9carter certaines dispositions jug\u00e9es non conformes.<\/p>\n\n\n\n<p>L&rsquo;entr\u00e9e en vigueur s&rsquo;effectue le 30 ou 31 d\u00e9cembre. La publication au Journal officiel conf\u00e8re au texte force de loi. Les nouveaux param\u00e8tres s&rsquo;appliquent d\u00e8s le 1er janvier.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Les enjeux concrets pour les dirigeants<\/h2>\n\n\n\n<p>Les \u00e9volutions envisag\u00e9es, notamment sur la CSG, restent au c\u0153ur des arbitrages parlementaires. M\u00eame des ajustements limit\u00e9s peuvent avoir un impact significatif sur plusieurs aspects.<\/p>\n\n\n\n<p>L&rsquo;\u00e9quilibre entre r\u00e9mun\u00e9ration et dividendes constitue le premier enjeu. Une modification des pr\u00e9l\u00e8vements sociaux sur les revenus du capital change l&rsquo;arbitrage optimal. Les dirigeants qui se versent des dividendes doivent int\u00e9grer cette variable.<\/p>\n\n\n\n<p>Certaines op\u00e9rations patrimoniales m\u00e9ritent \u00e9galement une attention particuli\u00e8re. Cessions de titres, distributions exceptionnelles, restructurations : le r\u00e9gime fiscal applicable d\u00e9pend de la date de r\u00e9alisation.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Agir avec m\u00e9thode, pas dans la pr\u00e9cipitation<\/h2>\n\n\n\n<p>La p\u00e9riode qui s&rsquo;ouvre appelle une analyse mesur\u00e9e. Il ne s&rsquo;agit pas de r\u00e9agir dans l&rsquo;urgence, mais d&rsquo;\u00e9valuer si certaines d\u00e9cisions gagnent \u00e0 \u00eatre prises sous le r\u00e9gime actuel.<\/p>\n\n\n\n<p>Le cadre fiscal en vigueur reste le seul pleinement s\u00e9curis\u00e9 \u00e0 ce stade. Les d\u00e9cisions prises avant la cl\u00f4ture de l&rsquo;exercice 2025 peuvent donc s&rsquo;appuyer sur des r\u00e8gles connues et stables.<\/p>\n\n\n\n<p>Structurer ou finaliser certaines op\u00e9rations avant le 31 d\u00e9cembre peut s&rsquo;av\u00e9rer pertinent. Cette d\u00e9marche doit toutefois rester conforme aux objectifs patrimoniaux de long terme.
