En 2010, la famille Herm\u00e8s a v\u00e9cu une attaque hostile qui a r\u00e9v\u00e9l\u00e9 une faille dans sa structure. Sa r\u00e9ponse constitue un mod\u00e8le applicable aux PME et ETI familiales.<\/strong><\/p>\n\n\n\n<p>L&rsquo;histoire d&rsquo;Herm\u00e8s, c\u00e9l\u00e8bre pour son artisanat d&rsquo;excellence, a bascul\u00e9 le 23 octobre 2010. Ce jour-l\u00e0, Bernard Arnault annonce que LVMH d\u00e9tient 17,1 % du capital, acquis secr\u00e8tement via des equity swaps. Cette offensive met en lumi\u00e8re une vuln\u00e9rabilit\u00e9 : la dispersion des actions entre 52 h\u00e9ritiers issus de trois branches familiales.<\/p>\n\n\n\n<p>Les entreprises familiales de Haute-Savoie et de la r\u00e9gion Auvergne-Rh\u00f4ne-Alpes font face aux m\u00eames enjeux de gouvernance \u00e0 leur \u00e9chelle. <a href=\"\/cgp-annecy\">Depuis Annecy<\/a>, nous accompagnons les dirigeants dans la mise en place de pactes d&rsquo;actionnaires et de holdings de contr\u00f4le qui s\u00e9curisent le capital familial.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Une faille dans la gouvernance : la dispersion du capital<\/h2>\n\n\n\n<p>Les familles Dumas, Guerrand et Puech descendaient toutes du fondateur Thierry Herm\u00e8s. Chacune poss\u00e9dait une portion du capital, mais sans structure de coordination. Cette dispersion rendait le groupe vuln\u00e9rable \u00e0 une prise de contr\u00f4le progressive.<\/p>\n\n\n\n<p>LVMH avait pr\u00e9par\u00e9 son offensive depuis 2001. En accumulant des participations sous le seuil de d\u00e9claration obligatoire, puis en utilisant des produits d\u00e9riv\u00e9s non soumis aux r\u00e8gles de transparence, le groupe avait construit sa position dans l&rsquo;ombre. La famille Herm\u00e8s n&rsquo;avait rien vu venir.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">La r\u00e9ponse d\u00e9fensive : cr\u00e9er une holding de contr\u00f4le<\/h2>\n\n\n\n<p>Face \u00e0 la menace, la r\u00e9action fut rapide et coordonn\u00e9e. En d\u00e9cembre 2010, les h\u00e9ritiers annoncent la cr\u00e9ation de H51, une holding destin\u00e9e \u00e0 verrouiller le contr\u00f4le familial.<\/p>\n\n\n\n<p>Le regroupement des titres constitue la premi\u00e8re \u00e9tape. 52 des 53 h\u00e9ritiers actionnaires acceptent d&rsquo;apporter leurs actions \u00e0 la nouvelle structure. Au total, 50,2 % du capital se retrouve sanctuaris\u00e9 dans H51.<\/p>\n\n\n\n<p>Le verrouillage juridique compl\u00e8te le dispositif. Les actions apport\u00e9es sont soumises \u00e0 un pacte d&rsquo;inali\u00e9nabilit\u00e9 de 20 ans. Ce cadenas juridique rend les titres incessibles \u00e0 tout tiers non familial. L&rsquo;attaque de LVMH se trouve neutralis\u00e9e.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Le choix de la Soci\u00e9t\u00e9 en Commandite par Actions<\/h2>\n\n\n\n<p>Pour p\u00e9renniser cette gouvernance familiale, Herm\u00e8s a conserv\u00e9 son statut de Soci\u00e9t\u00e9 en Commandite par Actions (SCA). Cette forme juridique dissocie rigoureusement le capital et le pouvoir.<\/p>\n\n\n\n<p>Les associ\u00e9s commandit\u00e9s, issus de la famille active dans la gestion, conservent le contr\u00f4le strat\u00e9gique. Leur pouvoir reste intact m\u00eame si le capital se dilue entre les commanditaires. Cette architecture garantit l&rsquo;ind\u00e9pendance du groupe sur plusieurs g\u00e9n\u00e9rations.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Les le\u00e7ons pour les dirigeants de PME et ETI<\/h2>\n\n\n\n<p>Pour un dirigeant de <a href=\"https:\/\/ch-gestionprivee.fr\/dirigeants\">PME familiale<\/a>, la menace ne vient pas d&rsquo;un pr\u00e9dateur ext\u00e9rieur. Elle r\u00e9side dans le risque d&rsquo;\u00e9clatement familial ou de d\u00e9saccords successoraux. La gouvernance familiale devient alors un outil d&rsquo;anticipation indispensable.<\/p>\n\n\n\n<p>Premi\u00e8rement, centralisez le contr\u00f4le avant qu&rsquo;il ne soit trop tard. Une <a href=\"\/publications\/holding-familiale-transmission-entreprise\/\">holding familiale<\/a> permet de regrouper la majorit\u00e9 des titres. Cette structure \u00e9vite la dispersion progressive du capital entre h\u00e9ritiers.<\/p>\n\n\n\n<p>Deuxi\u00e8mement, formalisez les r\u00e8gles du jeu. Un pacte d&rsquo;actionnaires d\u00e9finit les conditions de cession, d&rsquo;agr\u00e9ment et de valorisation des parts. Ces clauses prot\u00e8gent contre les ventes opportunistes ou les conflits familiaux.<\/p>\n\n\n\n<p>Troisi\u00e8mement, s\u00e9curisez les dispositifs fiscaux. Une architecture bien pens\u00e9e facilite le respect des engagements requis par le <a href=\"\/publications\/pacte-dutreil-transmission-entreprise\/\">Pacte Dutreil<\/a>.
